Smith, W. Creighton

Biography
Creighton’s primary areas of practice are mergers and acquisitions, private equity and joint ventures. He has extensive experience in advising public and private companies, private equity funds and their portfolio companies on a variety of mergers, acquisitions, dispositions, strategic investments and joint venture transactions.  Creighton also has significant experience in capital markets transactions and has represented issuers and underwriters in a number of initial public offerings and other public and private debt and equity offerings.  Additionally, he advises clients on corporate governance and general corporate and securities matters.  Creighton has represented clients in a variety of industries, including oilfield services, exploration and production, midstream, alternative energy, power generation, shipping, chemicals and software. Creighton was a resident in our Abu Dhabi office from July 2008 to July 2010, he is currently located in our Houston office.

  • Represented First Reserve Corporation in connection with its $675 million sale of Power Well Service Holdings, Inc.
  • Represented an oilfield services company in connection with its $235 million acquisition of four affiliated oilfield services companies

  • Represented affiliates of the D. E. Shaw group in connection with the formation of Green Rock Energy, L.L.C., a coal gasification joint venture investment vehicle with Goldman, Sachs & Co.
  • Represented affiliates of the D. E. Shaw group in connection with Green Rock Energy’s equity capital commitments to five coal gasification development projects
  • Represented an oil and gas exploration and production company in connection with its $1.0 billion line of equity financing from a group of  investors led by Warburg Pincus

  • Represented Huntsman Corporation in connection with its $1.9 billion initial public offering and its $175 million and €135 million Rule 144A offering of senior subordinated notes
  • Represented Goldman, Sachs & Co. in connection with the $288 million initial public offering of Basic Energy Services, Inc.
  • Represented Jefferies & Company, Inc. in connection with the $580 million Rule 144A offering of senior notes by a global shipping company
