Biography
Creighton’s primary areas of practice are mergers and acquisitions, private equity and joint ventures. He has extensive experience in advising public and private companies, private equity funds and their portfolio companies on a variety of mergers, acquisitions, dispositions, strategic investments and joint venture transactions. Creighton also has significant experience in capital markets transactions and has represented issuers and underwriters in a number of initial public offerings and other public and private debt and equity offerings. Additionally, he advises clients on corporate governance and general corporate and securities matters. Creighton has represented clients in a variety of industries, including oilfield services, exploration and production, midstream, alternative energy, power generation, shipping, chemicals and software. Creighton was a resident in our Abu Dhabi office from July 2008 to July 2010, he is currently located in our Houston office.

Mergers and Acquisitions
- Represented Express Energy Services in connection with it $635 million sale to Macquarie Group, Wachovia Capital Partners and management
- Represented First Reserve Corporation in connection with its $675 million sale of Power Well Service Holdings, Inc.
- Represented an oilfield services company in connection with its $235 million acquisition of four affiliated oilfield services companies
- Represented affiliates of the D. E. Shaw group in connection with D. E. Shaw’s acquisition of minority limited partnership interests in two power projects
- Represented Quintana Energy Partners in connection with its acquisition of a specialty oilfield services company and a specialty coal processing company
- Represented a software company in connection with its $260 million sale to a private equity buyer
- Represented Texas Genco LLC in connection with its $70 million sale of a fuel oil pipeline and its $100 million sale of a natural gas storage facility to a strategic buyer
- Represented SCF Partners and its portfolio companies in connection with their acquisitions of eight specialty oilfield services companies
- Represented a U.S. energy company in connection with its $1.1 billion acquisition of three co-generation power plants
- Represented Newfield Exploration Company in connection with its $750 million acquisition of EEX Corporation
- Represented a national building services company in connection with its $70 million sale to a strategic buyer
- Represented Oil States International, Inc. in connection with its combination with three specialty oilfield services companies and its simultaneous initial public offering
- Represented Oil States International, Inc. in connection with its $56 million sale of its hydraulic well control business to a strategic buyer
- Represented a Caribbean utility company in connection with its sale of a minority interest to a global power company
- Represented a sports management and marketing company in connection with its sale
Private Equity and Joint Venture Investments
- Represented affiliates of the D. E. Shaw group in connection with the formation of Green Rock Energy, L.L.C., a coal gasification joint venture investment vehicle with Goldman, Sachs & Co.
- Represented affiliates of the D. E. Shaw group in connection with Green Rock Energy’s equity capital commitments to five coal gasification development projects
- Represented an oil and gas exploration and production company in connection with its $1.0 billion line of equity financing from a group of investors led by Warburg Pincus
- Represented an oil and gas exploration and production company in connection with its corporate restructuring and its concurrent $268 million line of equity financing from a consortium of private equity investors
- Represented Quintana Energy Partners in connection with its line of equity investment in an oil and gas exploration and production joint venture

- Represented Huntsman Corporation in connection with its $1.9 billion initial public offering and its $175 million and €135 million Rule 144A offering of senior subordinated notes
- Represented Goldman, Sachs & Co. in connection with the $288 million initial public offering of Basic Energy Services, Inc.
- Represented Jefferies & Company, Inc. in connection with the $580 million Rule 144A offering of senior notes by a global shipping company
- Represented a global oilfield services company in connection with its proposed initial public offering on the Oslo stock exchange
- Represented Lexicon Genetics, Inc. in connection with its $52 million public offering of common stock
- Represented an independent exploration and production company in connection with its $250 million public offering of senior subordinated notes
- Represented the underwriters in connection with the $100 million Rule 144A offering of senior convertible notes of an exploration and production company
- Represented the underwriters in connection with the $31 million public offering of common stock and the $200 million public offering of senior subordinated notes of an exploration and production company
- Represented the underwriters in connection with the $90 million initial public offering of an oilfield services company
- Represented an electric generation company in connection with its $850 million Rule 144A offering of senior notes
- Represented a U.S. midstream natural gas company in connection with its $1.7 billion public offering of senior notes
