Biography
Jim’s practice focuses primarily on private equity, mergers and acquisitions, and capital markets transactions. He has more than fifteen years legal and financial experience working with senior management and boards of directors on corporate transactions and governance matters across a broad range of industries, including energy (mainly upstream, midstream, and oilfield services), software/technology, consumer products, restaurants and beverages, and financial services. Jim has represented both public and private companies in mergers, acquisitions, dispositions and strategic investments; represented issuers and underwriters in public and private debt and equity offerings; and counseled clients on securities law matters, corporate governance and other general corporate matters. In addition to his law firm experience in Dubai, New York City, and Houston, Jim served three years as in-house counsel for a NYSE-listed company based in New York City that controlled a diversified portfolio of operating companies, and he has held senior legal and financial positions with venture-backed private companies.

  • Represented a publicly-traded manufacturing company in its acquiring a privately held manufacturing business
  • Represented a publicly-traded oil and gas exploration company in its $125 million acquisition of oil and gas properties
  • Represented a publicly-traded company in the sale of its specialty chemicals and dye subsidiary
  • Represented a publicly-traded company in the disposition of its controlling interest in a master limited partnership with liquefied gas operations
  • Represented a private equity fund in acquiring a controlling interest in an oilfield services company
  • Represented various privately-held technology companies in raising equity and convertible debt financing from venture capital firms and strategic investors
  • Represented private equity investors in acquiring a financial services company that collected charged-off credit card receivables and in the company's subsequent initial public offering
  • Represented Spectra Energy Partners, L.P. (owner of interstate natural gas pipelines and storage facilities)  in its $253 million initial public offering of common units
  • Represented Cardtronics, Inc. (one of the world’s largest ATM operators) in its $120 million initial public offering of common stock
  • Represented CDM Resource Partners, L.P. (a natural gas contract compression services company and a portfolio investment of Carlyle/Riverstone)  in its planned initial public offering of common units prior to its sale to a third party
  • Represented issuers and underwriters in more than 25 other initial and secondary public offerings of equity securities
  • Represented the issuer in its Rule 144A offering of $360 million principal amount of Zero Coupon Subordinated debentures
